1. Introduction
These Terms & Conditions (“Terms”) govern your access to and use of Ajvika / Ajvikaa SaaS products, IoT systems, and digital services. By accessing, registering for, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
These Terms apply to all users, including individuals, businesses, teams, employees, agents, and third parties accessing the Services on your behalf. If you are using the Services on behalf of an organization, you confirm you are authorized to accept these Terms for that entity.
If you do not agree with any part of these Terms, you must stop using the Services immediately.
2. User Account Responsibilities
- Accurate Information: You must provide true, accurate, and updated account details.
- Password Security: You are fully responsible for maintaining the confidentiality of your login credentials, API keys, and any authentication methods.
- Unauthorized Access: Any activity under your account will be considered performed by you. Notify us immediately if you suspect unauthorized access.
- Access Management: If multiple users or roles are allowed under your plan, you are responsible for managing permissions responsibly.
Single User / Role-Based Access
- If your plan allows role-based or multi-user access, you are responsible for managing access rights and ensuring that only authorized personnel use your account under the agreed terms.
3. Acceptable Usage
You agree to use the Services only for lawful and legitimate business or personal purposes and in accordance with these Terms.
You must NOT:
- Attempt to hack, probe, scan, or test the vulnerability of any system or network associated with Ajvika / Ajvikaa.
- Reverse engineer, decompile, decode, or attempt to derive source code from any part of the Services, unless explicitly permitted by law and with our prior written permission.
- Use the Services to transmit, store, or manage any content that is illegal, harmful, abusive, defamatory, infringing, or otherwise objectionable under applicable laws.
- Use the Services for fraudulent activities, unauthorized automation, mass messaging, spamming, or any activity that may harm other users, networks, devices, or infrastructure.
- Interfere with or disrupt the integrity, performance, or availability of the Services, servers, databases, or any related third-party services.
- Bypass or attempt to bypass usage limits, subscription restrictions, device limitations, API limits, or any technical protections including rate limits in IoT deployments.
We reserve the right to investigate, restrict, suspend, or terminate access—without prior notice—if we identify or suspect any violation of these Acceptable Usage terms. Further legal or technical action may be taken when necessary.
4. Payments & Billing
Our Services may be offered on a subscription, prepaid, or usage-based billing model. All users are required to follow the billing policies described below.
- Prepaid Subscriptions: All subscription fees must be paid in advance for the selected billing cycle (monthly, quarterly, yearly, or custom). Access to premium or paid features is provided only after successful payment.
- Third-Party Fees: Charges incurred from external services such as SMS gateways, communication APIs, payment gateways, cloud providers, IoT SIM/data usage, or any third-party integrations are not included unless clearly stated in your plan. These fees may be billed separately or paid directly by you to such service providers.
- Taxes & Charges: All listed prices may exclude applicable taxes, including GST and other government-mandated charges. You are responsible for the payment of all taxes, duties, levies, or additional charges associated with your use of the Services.
- Failed Payments & Overdue Accounts: If payment is not received by the due date, we may suspend, limit, or restrict your access to the Services until outstanding payments are cleared. Late fees, reactivation charges, or administrative penalties may apply where applicable.
- Refunds: All payments made are non-refundable unless specified under a separate Refund Policy or required under applicable law. Refunds, if any, are issued solely at the discretion of the Company.
5. Intellectual Property
All rights, title, and interest in and to the Services, including but not limited to:
- Software, code, and APIs
- User interfaces, dashboards, and UI/UX designs
- Branding, logos, names, and trademarks
- Documentation, training material, and content
- IoT firmware, device configurations, and control logic
These assets are and will remain the exclusive intellectual property of Ajvika / Ajvikaa and its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business or personal purposes, in accordance with these Terms and the scope of your subscription.
You may NOT:
- Copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any part of the Services.
- Use Ajvika’s name, logo, or branding in any manner that implies endorsement, partnership, or association without prior written permission.
Any feedback, suggestions, feature requests, or ideas you share with us may be used to improve the Services without any obligation to compensate you.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Ajvika / Ajvikaa, including its affiliates, directors, employees, and partners, shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from or related to your use of the Services.
This includes, but is not limited to, losses or damages caused by:
- User-side Issues: Errors in usage such as dashboard misinterpretation, incorrect workflow setup, failure to monitor alerts, or improper device handling.
- Weak Passwords or Poor Security Practices: Unauthorized access resulting from easy-to-guess passwords, shared credentials, insecure networks, or compromised personal devices.
- Misconfiguration by Client: Mistakes in IoT wiring, device mapping, automation thresholds, or incorrect third-party API integrations that result in downtime, malfunction, or data loss.
- Third-Party Service Failures: Downtime or issues caused by telecom providers, ISPs, SMS gateways, payment processors, cloud hosting services, or other third-party vendors.
Where total liability cannot be fully excluded under applicable law, the maximum cumulative liability for any claim related to the Services shall be limited to the total amount you paid to Ajvika / Ajvikaa during the immediately preceding billing period for the specific Service involved.
7. Suspension / Termination
We reserve the right, at our sole discretion, to suspend or terminate your access to the Services, with or without prior notice, under any of the following conditions:
- Suspected fraud, abuse, hacking attempts, or security threats originating from your account or devices.
- Non-payment, repeated failed payments, chargebacks, or unresolved billing disputes.
- Violation of these Terms, applicable laws, platform policies, or infringement of third-party rights.
- Misuse of integrations, unauthorized resale, distribution, or white-labeling without proper agreements.
Upon termination:
- Your access to and right to use the Services will cease immediately.
- We may, but are not obligated to, retain your data for a limited period for legal, regulatory, or backup purposes.
- You are responsible for exporting any allowable data before termination where such access is available.
8. Updates
We may update, revise, or modify these Terms at any time to:
- Reflect changes in our Services, features, or business operations,
- Ensure compliance with legal, regulatory, or security requirements, or
- Provide greater clarity, transparency, and fairness for all users.
We may notify you of major updates through email, announcements, or in-app notifications. However, it is ultimately your responsibility to review the Terms periodically.
Your continued use of the Services after any update constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue your use of the Services.
