Welcome to Ajvika! These Terms of Service (“Terms”) govern your use of the SaaS services, websites, and applications provided by Ajvika (“Company”, “we”, “our”, or “us”), including but not limited to School ERP, Check Point, IoT devices, and service automation solutions. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By registering for, accessing, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any other policies referenced herein. If you are using the services on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Services

Ajvika provides a suite of cloud-based software and hardware solutions, including:

  • School ERP: A multi-school management system with SaaS architecture and mobile apps.
  • Check Point: QR-based and virtual check-point solutions for attendance and security.
  • IoT Devices: Custom-designed IoT hardware for various automation needs.
  • Service Automation: Tools to automate business processes and workflows.

We reserve the right to modify, suspend, or discontinue any part of the services at any time without notice.

3. Accounts and Registration

To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your login credentials confidential. You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Payment and Billing

Some services are offered on a subscription basis (“SaaS”). Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We may change fees with 30 days’ notice. Late payments may result in suspension or termination of services.

5. Cancellation and Termination

You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation will take effect at the end of the current billing period. We may terminate or suspend your access immediately if you violate these Terms or applicable laws. Upon termination, your right to use the services ceases, and we may delete your data after a reasonable period.

6. User Responsibilities and Acceptable Use

You agree not to:

  • Use the services for any illegal or unauthorized purpose.
  • Interfere with or disrupt the integrity or performance of the services.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Transmit any harmful code or material.
  • Reverse engineer any part of the services.

You are solely responsible for the content you submit and the consequences of sharing it.

7. Intellectual Property Rights

All rights, title, and interest in and to the services (including software, APIs, databases, and content) are and will remain the exclusive property of Ajvika and its licensors. You may not copy, modify, or create derivative works based on our services without our express written consent. You retain ownership of any data you submit, but you grant us a license to host, process, and use it to provide the services.

8. Data Privacy

Our Privacy Policy explains how we collect, use, and protect your personal information. By using the services, you consent to such processing and warrant that all data provided is accurate.

9. Third-Party Links and Services

Our services may contain links to third-party websites or services that are not owned or controlled by Ajvika. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party. You acknowledge and agree that Ajvika shall not be liable for any damage or loss caused by your use of such third-party services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AJVIKA, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OR INABILITY TO USE THE SERVICES; (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (III) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES; (IV) ANY BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY; (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT; OR (VI) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US DURING THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

12. Indemnification

You agree to defend, indemnify, and hold harmless Ajvika and its employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in [City, State], and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our website. Your continued use of the services after such changes constitutes your acceptance of the new Terms.
